TERMS AND CONDITIONS OF SERVICE
By hiring any service or product offered by GenIA Labs, the Client accepts in full and without reservation the present Terms and Conditions.
1. ACCEPTANCE OF TERMS
By hiring any consultancy service, development or subscription with GenIA Labs, the Client accepts in full and without reservation the present Terms and Conditions.
2. IDENTITY OF THE SUPPLIER AND SERVICES
GenIA Labs (Mauricio Martínez Langarica), address Uxmal 513 Int. 3, Vértiz Narvarte, Benito Juárez, 03600 Mexico City, CDMX, offers: 360° web audit with AI, AI business consulting and digital development (websites, agents, PWA, SaaS). Prices in MXN or USD according to quote; include VAT when applicable in accordance with the LFPC.
3. QUOTES AND VALIDITY
All economic proposals issued by GenIA Labs are valid for 30 calendar days. After this period, costs and delivery times are subject to renegotiation.
4. PAYMENT CONDITIONS
Consulting/Development Projects: A 50% advance payment is required to start the project and the remaining 50% at the time of delivery. Special Cases: In projects defined as 'small' or when the Client requests the issuance of the invoice in advance of delivery, 100% of the payment must be settled in advance. 'Chameleon' SaaS: Access is governed by a subscription model (monthly or annual) managed through the Stripe platform. Failure to pay the subscription will result in immediate suspension of the service.
5. INTELLECTUAL PROPERTY AND COPYRIGHT
Custom Projects: The intellectual property of the source code, strategies and assets developed will be transferred to the Client only when the Client has settled 100% of the value of the project and as long as GenIA Labs does not maintain active administration of the service. Retention of Ownership: GenIA Labs will retain ownership and control of any development in the event of non-payment or if the service requires ongoing administration by us for its operation. Chameleon SaaS: It is the exclusive property of GenIA Labs. The subscription payment grants only a temporary, non-exclusive and non-transferable Right of Use (License).
6. DELIVERY AND COMPLETION
A project is considered legally delivered and accepted to the complete satisfaction of the Client through: a) The delivery certificate or confirmation message of the end of the project. b) The issuance of the final invoice or the corresponding payment CFDI.
7. WARRANTY AND SUPPORT POLICY
Limited Warranty: GenIA Labs offers a 30 calendar day warranty after delivery to correct functionality errors (bugs). Technical Errors: If a programming error directly attributable to GenIA Labs is detected, the correction will be at no cost to the Client, even if the 30-day period has expired. Exclusions: Any maintenance requests, design changes, new functionality or errors caused by Client misuse will be priced as separate services.
8. CANCELLATIONS AND REFUNDS
Due to the nature of professional services, no refunds of advances will be made once the project has passed Phase 1 established in the work program. The advance payment covers the hours of diagnosis and initial architecture.
9. LIMIT OF LIABILITY (IA)
GenIA Labs provides Artificial Intelligence tools as optimization instruments. The Client is solely responsible for the business decisions made based on the results generated by said tools.
10. JURISDICTION
For any controversy derived from the interpretation or fulfillment of these terms, the parties submit to the laws and courts of Mexico City, renouncing any other jurisdiction.
